I represent companies, business owners and individuals in corporate and transactional law, tax, compensation and benefits, estate and business succession planning, oil and gas.

My commercial transaction practice includes business start-ups, sales, acquisitions, mergers and reorganizations; joint ventures and partnerships; contracts and business agreements; offerings and financing arrangements; tax planning, consulting, and representation; corporate governance, risk management and compliance; real estate; as well as addressing the strategic plans and day to day legal needs of those I represent.

I act as outside general counsel to a number of closely held businesses and often work in collaboration on matters with in-house counsel. I have represented both corporations and executives (public and private) in negotiating employment contracts and severance agreements; and provided advice, planning and compliance as to employee benefits, retirement benefits, and incentive compensation, including stock options and appreciation rights, restricted stock, and other forms of deferred compensation.

I provide wealth, estate, and business succession services to entrepreneurial individuals and family businesses to help them achieve their personal and professional goals while minimizing taxes; sophisticated trust and entity planning; advise clients in the areas of retirement planning, insurance needs, philanthropic/charitable gifting, and asset protection.

I have represented numerous landowners in regard to oil and gas leases and mineral rights.
